What incorporating in Taiwan means

A 有限公司 (yǒuxiàn gōngsī, Limited Company) is the standard vehicle for a permanent business presence, registered with the Ministry of Economic Affairs rather than formed by notarial deed. Larger operations sometimes use a Company Limited by Shares (股份有限公司), which issues actual share capital and suits a future board structure or share issuance. When you form one, you become the legal employer and operator in Taiwan, with full control and no per-employee EOR fees, and no statutory minimum capital to raise before you start.

01

Your own company

Your own Limited Company makes you the legal employer and operator in Taiwan, with full control of employment terms and a local brand presence.

02

Lower cost at scale

No per-employee EOR fees. For permanent, proven headcount, owning the entity is more cost-effective than ongoing EOR arrangements.

03

Setup takes time

Registration typically takes three to six weeks depending on the route and any foreign-investment approval needed, and you cannot employ anyone until tax and insurance registration completes. Timing the move matters, which is why many companies bridge with an EOR first.

How incorporating in Taiwan works, step by step

From structuring the company to operating it compliantly.

01 — Structure & prepare

We confirm incorporation is right for you, then check company-name availability, define the business scope, and arrange your registered Taiwan office address.

02 — Capital & registration

There is no statutory minimum share capital, and no notarial deed is required. Capital should realistically cover your first year of costs; the Ministry of Economic Affairs can query a nominal figure against your stated business scope.

03 — Register the company

The company is registered with the Ministry of Economic Affairs (or the local city government for some smaller categories), then enrolled with the National Taxation Bureau for corporate tax and Business Tax, so you can operate compliantly.

04 — Operate & stay compliant

Business bank account, then enrolment with the Bureau of Labor Insurance and National Health Insurance Administration once you hire, plus ongoing accounting, payroll, filings, and annual reporting, all of which we can run for you.

What incorporating in Taiwan costs

Two kinds of cost: the one-off formation, and the ongoing operating obligations. Taiwan has no statutory minimum capital and no notary fee to budget for; the real commitment is the ongoing compliance. We give you a clear figure before you commit.

Share capital & formation

No statutory minimum share capital for a Limited Company; capital should realistically cover your first year of running costs. There is no notary fee, since incorporation is an administrative registration with the Ministry of Economic Affairs, not a notarial process.

Corporate tax

20% standard rate. Taxable income up to NT$120,000 is exempt, with a smoothing cap just above the threshold. A 5% additional tax applies to after-tax profits not distributed by the end of the following fiscal year.

Business Tax

Standard Business Tax (Taiwan’s VAT-equivalent) is 5%. Small-scale-operator exemption applies below NT$100,000/month turnover for goods or NT$50,000/month for services, effective 1 January 2025; a company above those thresholds registers and files as normal.

Ongoing obligations

Accounting, monthly payroll (income tax and all three statutory insurance schemes plus the Labor Pension contribution), Business Tax and corporate-tax filings, and annual financial statements, plus a mandatory CPA audit once paid-in capital, revenue, or headcount cross the statutory thresholds, all of which we can manage for you.

The incorporation trap nobody flags

A growing business hits a good quarter and someone says, let us just set up a proper Taiwan company. It sounds responsible. It usually is not, yet. Below is what people expect against what happens in practice.

Employment & payroll obligations

Expectation: registration takes a few weeks and is just admin. Reality: registration itself can be quick, but tax registration and enrolment with the Bureau of Labor Insurance and the National Health Insurance Administration all apply, and you cannot legally employ anyone until those registrations are live.

Tax, filing & reporting obligations

Expectation: we can always reverse it. Reality: dissolving a company needs a shareholder resolution, creditor notification, and a liquidation period. And once it exists, the obligations do not stop: annual financial statements, monthly payroll filings, corporate tax and Business Tax returns, and, once you cross the paid-in capital, revenue, or headcount thresholds, a mandatory CPA audit. None of this is a reason not to incorporate. It is a reason to time it well.

What we handle for your company

Beyond incorporation, we can run the full back office for your company.

Compliant payroll

Compliant Taiwan payroll and employment administration, issued and maintained for you.

Payroll & filings

Monthly payroll run, with income tax and all three statutory insurance schemes plus the Labor Pension contribution calculated, withheld, and filed each month.

Statutory benefits

All statutory benefits administered: annual leave, sick leave, maternity and paternity leave, notice and severance.

Compliance & support

Ongoing HR compliance and a single point of contact, for the life of the engagement.

Your questions answered

Straight answers on incorporating and running a company in Taiwan.

Usually three to six weeks depending on the route and whether foreign-investment approval is needed, once documents, the registered address, and the business scope are in place. You cannot legally employ anyone until tax and insurance registration completes, which is why timing matters and why many companies bridge with an EOR first.
There is no statutory minimum. Capital should realistically cover your first year of running costs, since the Ministry of Economic Affairs can query a nominal figure against your stated business scope. The real cost is the ongoing accounting and compliance, which we can run for you.
Yes. There is no residency or citizenship requirement for shareholders or directors since the 2018 Company Act amendment; a non-resident individual can be sole shareholder and sole director, managing remotely. You will need a registered Taiwan office, which we arrange.
Incorporate when you have permanent, proven headcount and want full control, and the per-head savings justify the ongoing costs. Use EOR while you are still validating the market or need people working quickly. Most companies start with EOR and incorporate later. We advise on the crossover.
Accounting, monthly payroll (income tax and the three statutory insurance schemes plus the Labor Pension contribution), corporate tax and Business Tax filings, and annual financial statements, plus a mandatory CPA audit once paid-in capital reaches NT$30 million, revenue reaches NT$100 million, or headcount reaches 100. We can run all of it so the entity stays compliant without you building a local finance function.
Yes, and it is how most companies use us. Beyond incorporation we provide ongoing accounting, payroll, and compliance, so your Taiwan company operates smoothly from day one without hiring locally for back office.
