What incorporating in Slovenia means

A d.o.o. (družba z omejeno odgovornostjo, limited liability company) is the standard vehicle for a permanent business presence. A single founder can register one free of charge online through the SPOT portal (the current one-stop-shop system, successor to the older e-VEM registration service), usually within a few business days, provided the full EUR 7,500 minimum share capital is paid in cash before filing; in-kind contributions, deferred payment, or non-standard company-contract terms require a notary instead. Larger operations sometimes use a d.d. (joint-stock company, minimum capital EUR 25,000). When you form one, you become the legal employer and operator in Slovenia, with full control and no per-employee EOR fees, in exchange for the ongoing obligations.

01

Your own company

Your own d.o.o. makes you the legal employer and operator in Slovenia, with full control of employment terms and a local brand presence.

02

Lower cost at scale

No per-employee EOR fees. For permanent, proven headcount, owning the entity is more cost-effective than ongoing EOR arrangements.

03

Setup takes time

Incorporation can be quick, a few business days online through SPOT when conditions are met, but you cannot employ anyone until Business Register entry completes, and more complex cases needing a notary take longer. Timing the move matters, which is why many companies bridge with an EOR first.

How incorporating in Slovenia works, step by step

From structuring the company to operating it compliantly.

01 — Structure & prepare

We confirm incorporation is right for you, then prepare the company contract, run the company-name availability check, and arrange your registered Slovenian office address.

02 — Capital & registration

Minimum share capital is EUR 7,500 (at least EUR 50 per shareholder), paid in full in cash before filing. A single founder, or multiple founders together, can register free online through the SPOT portal without a notary, provided the capital is cash and a standard company contract is used; a notary is only needed for in-kind contributions or non-standard terms.

03 — Register the company

The company is entered in the Business Register via SPOT (or, where a notary was needed, by the notary), then registered for tax with FURS and for VAT if required, so you can operate and employ compliantly.

04 — Operate & stay compliant

Business bank account, then ongoing accounting, payroll, filings, and annual reporting, all of which we can run for you.

What incorporating in Slovenia costs

Two kinds of cost: the one-off formation, and the ongoing operating obligations. Slovenia’s formation cost can be zero if you qualify for the free SPOT route; the real commitment is the ongoing compliance. We give you a clear figure before you commit.

Share capital & formation

Minimum share capital for a d.o.o. is EUR 7,500 (at least EUR 50 per shareholder), paid in full before filing. Online SPOT registration is free of charge; a notary is only needed for in-kind capital or non-standard terms, typically EUR 100 to 500.

Corporate tax

22% effective rate for 2026: the 19% headline rate plus a 3-point flood-reconstruction surtax in force for tax years 2024 to 2028.

VAT

Standard VAT is 22% (reduced rates 9.5% and 5%). Registration is mandatory once annual taxable turnover passes EUR 60,000.

Ongoing obligations

Accounting, monthly payroll (income tax and social contributions), VAT and corporate tax filings, and annual financial statements filed with AJPES, all of which we can manage for you.

The incorporation trap nobody flags

A growing business hits a good quarter and someone says, let us just set up a proper Slovenian company. It sounds responsible. It usually is not, yet. Here is what people expect against what happens in practice.

Employment & payroll obligations

Expectation: registration is free and instant online. Reality: SPOT’s free route only covers simple, cash-paid, standard-terms company contracts; foreign founders need a Slovenian tax number from FURS before the Business Register filing can even be lodged, and any in-kind contribution or bespoke term pushes you to a slower, non-free notary route. You still cannot legally employ anyone until registration is live, and once you do, whichever sector collective bargaining agreement covers your registered activity applies automatically from day one, often setting pay and the regres holiday allowance above the statutory floor without you having negotiated it.

Tax, filing & reporting obligations

Expectation: we can always reverse it. Reality: dissolving a company needs a shareholder resolution, creditor notification, and a winding-up period. And once it exists, the obligations do not stop: annual financial statements to AJPES, monthly payroll filings, corporate tax and VAT returns, and (for medium and large companies) a statutory audit.

What we handle for your company

Beyond incorporation, we can run the full back office for your company.

Your questions answered

Straight answers on incorporating and running a company in Slovenia.

Usually a few business days via the free online SPOT route once your share capital is paid in and your registered address is arranged; longer, and via a notary, if you need in-kind capital, deferred payment, or non-standard company-contract terms. You cannot legally employ anyone until Business Register entry completes, which is why timing matters and why many companies bridge with an EOR first.
EUR 7,500 in total (at least EUR 50 per shareholder), paid in full in cash before you file. Online SPOT registration itself is free. The real cost is the ongoing accounting and compliance, which we can run for you.
Yes. There is no residency or citizenship requirement for shareholders or directors; a non-EU, non-resident individual can be sole shareholder and sole director. A foreign director acting as company representative may need a work permit, and will need a Slovenian tax number before the Business Register filing can proceed, plus a registered Slovenian office, all of which we arrange.
Incorporate when you have permanent, proven headcount and want full control, and the per-head savings justify the ongoing costs. Use EOR while you are still validating the market or need people working quickly. Most companies start with EOR and incorporate later. We advise on the crossover.
Accounting, monthly payroll (income tax and social contributions), corporate tax and VAT filings, and annual financial statements filed with AJPES (plus a statutory audit for medium and large entities). We can run all of it so the entity stays compliant without you building a local finance function.
Yes, and it is how most companies use us. Beyond incorporation we provide ongoing accounting, payroll, and compliance, so your Slovenian company operates smoothly from day one without hiring locally for back office.
