What incorporating in Slovakia means

An s.r.o. (spoločnosť s ručením obmedzeným, limited liability company) is the standard vehicle for a permanent business presence, with minimum share capital of EUR 5,000 in total and at least EUR 750 per shareholder. Larger operations sometimes use an a.s. (akciová spoločnosť, joint-stock company, minimum capital EUR 25,000), and startups wanting a flexible share structure sometimes choose a j.s.a. (jednoduchá spoločnosť na akcie, simple joint-stock company, minimum capital EUR 1) — a distinct legal form, not a reduced-capital version of the s.r.o. The company becomes a legal entity only once it is entered in the Obchodný register (Commercial Register). When you form one, you become the legal employer and operator in Slovakia, with full control and no per-employee EOR fees, in exchange for the setup time and the ongoing obligations. We offer independent advice including whether an s.r.o. is the best solution for your business.

01

Your own company

Your own s.r.o. makes you the legal employer and operator in Slovakia, with full control of employment terms and a local brand presence.

02

Lower cost at scale

No per-employee EOR fees. For permanent, proven headcount, owning the entity is more cost-effective than ongoing EOR arrangements.

03

Setup takes time

Incorporation typically takes several weeks, and you cannot employ anyone until Obchodný register entry completes. Timing the move matters, which is why many companies bridge with an EOR first.

How incorporating in Slovakia works, step by step

From structuring the company to operating it compliantly.

01 — Structure & prepare

We confirm incorporation is right for you, then prepare the zakladateľská listina (for a single founder) or spoločenská zmluva (for multiple founders) — the founding document — run the company-name availability check, and arrange your registered Slovak office address.

02 — Capital & certified signatures

Minimum share capital for an s.r.o. is EUR 5,000 in total (EUR 750 per shareholder), with at least 30% of each member’s cash contribution paid up before you file, and combined paid-up plus non-monetary contributions reaching EUR 2,500 by the entry date; a single founder must have the full amount paid up first. No bank deposit proof is required — a written declaration from the capital administrator is enough. Today the founding document needs only certified signatures, not a full notarial deed — but this changes from 17 August 2026, when Act 29/2026 Coll. requires a notarial deed or an attorney-authorised agreement instead.

03 — Register the company

The company is entered in the Obchodný register via the registry courts, administered by the Ministry of Justice, then registered for corporate tax with the tax office and for VAT if required, so you can operate and employ compliantly.

04 — Operate & stay compliant

Business bank account, then ongoing accounting, payroll, filings, and annual reporting, all of which we can run for you.

What incorporating in Slovakia costs

Two kinds of cost: the one-off formation, and the ongoing operating obligations. Slovakia’s formation cost is modest; the real commitment is the ongoing compliance. We give you a clear figure before you commit.

Share capital & formation

Minimum share capital for an s.r.o. is EUR 5,000 in total (EUR 750 per shareholder), with at least 30% paid up before you file. The Obchodný register court fee is EUR 220 for an s.r.o. (EUR 550 for an a.s.), in force since 1 April 2024. Filing directly through a notary costs EUR 204.06 today, rising to EUR 270.60 from 17 August 2026, when a separate notarial-deed fee of roughly EUR 70-100 also becomes payable.

Corporate tax

Progressive rates: 10% up to EUR 100,000 of taxable income, 21% from EUR 100,000 to EUR 5,000,000, and 24% above that. A minimum “licence tax” also applies regardless of profit, from EUR 340 up to EUR 11,520 a year depending on income band.

VAT

Standard VAT is 23% (raised from 20% on 1 January 2025), with reduced rates of 19% and 5%. Registration is mandatory once turnover passes EUR 50,000 in a calendar year (effective the following January), or immediately if it passes EUR 62,500 within the same year. A proposed rise to EUR 83,000/85,000 was rejected by Parliament in May 2026.

Ongoing obligations

Accounting, monthly payroll (income tax, social insurance, and health insurance), corporate tax and VAT filings, and annual financial statements filed with the Obchodný register every year, plus a statutory audit if the company meets at least 2 of 3 thresholds (total assets over EUR 4,000,000, net turnover over EUR 8,000,000, or an average of more than 50 employees, Act 431/2002 Coll.). We can manage all of it for you.

The incorporation trap nobody flags

A growing business hits a good quarter and someone says, let us just set up a proper Slovak company. It sounds responsible. It usually is not, yet. Here is what people expect against what happens in practice.

Employment & payroll obligations

Expectation: it takes a few weeks and is just admin. Reality: a registered Slovak office, the founding document, and registration with the tax office, Sociálna poisťovňa, and a health insurance company all apply, and you cannot legally employ anyone until those registrations are live.

Tax, filing & reporting obligations

Expectation: we can always reverse it. Reality: dissolving a company needs a shareholder resolution, creditor notification, and a winding-up period. And once it exists, the obligations do not stop: annual financial statements, monthly payroll filings, corporate tax and VAT returns, and, for larger companies, a statutory audit. None of this is a reason not to incorporate. It is a reason to do it at the right time, with the right partners already in place.

What we handle for your company

Beyond incorporation, we can run the full back office for your company.

Compliant payroll

Compliant Slovak payroll and employment administration, issued and maintained for you.

Payroll & filings

Monthly payroll run, with income tax, social insurance, and health insurance calculated, withheld, and filed each month.

Statutory benefits

All statutory benefits administered: annual leave, sick pay, parental leave, notice and severance.

Compliance & support

Ongoing HR compliance and a single point of contact, for the life of the engagement.

Your questions answered

Straight answers on incorporating and running a company in Slovakia.

Usually a few weeks once the founding document, share capital, and the registered address are in place — today’s route needs only certified signatures, which keeps things moving quickly. You cannot legally employ anyone until Obchodný register entry completes, which is why timing matters and why many companies bridge with an EOR first.
EUR 5,000 in total, with at least EUR 750 per shareholder. At least 30% of each member’s cash contribution must be paid up before you file, and combined paid-up and non-monetary contributions must reach EUR 2,500 by the registration date; a single-founder s.r.o. must have the full amount paid up first. No bank deposit proof is needed — a written declaration from the capital administrator is enough. The Obchodný register court fee is EUR 220. The real cost is the ongoing accounting and compliance, which we can run for you.
If you are an EU or OECD national, yes, with no residency or citizenship requirement — you can be sole shareholder and sole director, managing remotely. If you are not an EU or OECD national, you need a valid Slovak residence permit before the Obchodný register court will approve registration (Act 530/2003 Coll., Section 7(14)). You will also need a registered Slovak office, which we arrange.
Incorporate when you have permanent, proven headcount and want full control, and the per-head savings justify the ongoing costs. Use EOR while you are still validating the market or need people working quickly. Most companies start with EOR and incorporate later. We advise on the crossover.
We can run all of it so the entity stays compliant without you building a local finance function.
Yes, and it is how most companies use us. Beyond incorporation we provide ongoing accounting, payroll, and compliance, so your Slovak company operates smoothly from day one without hiring locally for back office.
A new Commercial Register Act (Act 29/2026 Coll.) takes effect on 17 August 2026 and ends the current certified-signatures route for founding documents. From that date, the founding document must be either a notarial deed or an attorney-authorised agreement, and the direct-notary registration fee rises from EUR 204.06 to EUR 270.60, plus a separate notarial-deed fee of roughly EUR 70-100. If you are planning to incorporate now, the simpler and cheaper route is available only until that date.
