What incorporating in Kazakhstan means

A Limited Liability Partnership (LLP, товарищество с ограниченной ответственностью, TOO) is the standard vehicle for a permanent business presence, formed with a charter and registered through the State Revenue Committee, typically within a working day online for a single founder. Larger or publicly listed operations sometimes use a Joint Stock Company (JSC) instead, with heavier disclosure obligations. When you form an LLP, you become the legal employer and operator in Kazakhstan, with full control and no per-employee EOR fees, in exchange for the setup time and the ongoing obligations.

01

Your own company

Your own LLP makes you the legal employer and operator in Kazakhstan, with full control of employment terms and a local presence.

02

Lower cost at scale

No per-employee EOR fees. For permanent, proven headcount, owning the entity is more cost-effective than ongoing EOR arrangements.

03

Setup takes time

Online LLP registration can complete within a working day for a single founder, but you cannot run payroll or employ anyone until State Revenue Committee registration and BIN issuance complete. Timing the move matters, which is why many companies bridge with an EOR first.

How incorporating in Kazakhstan works, step by step

From structuring the company to operating it compliantly.

01 — Structure & prepare

We confirm incorporation is right for you, then reserve the company name, prepare the charter, and arrange your registered Kazakhstani office address.

02 — Capital & registration

The LLP’s minimum charter capital is 100 times the monthly calculation index for medium and larger businesses (around KZT 432,500 for 2026), with no minimum contribution required for small and micro businesses. The charter is signed by all founders.

03 — Register the company

The LLP is entered on the State Revenue Committee’s register, where legal personality begins and a Business Identification Number (BIN) is issued, typically within a working day online for a single founder, so you can operate and employ compliantly.

04 — Operate & stay compliant

Business bank account, then ongoing accounting, payroll, filings, and annual reporting, all of which we can run for you.

What incorporating in Kazakhstan costs

Two kinds of cost: the one-off formation, and the ongoing operating obligations. Kazakhstan’s formation cost is low and the process is fast; the real commitment is the ongoing compliance across a tax code that just changed. We give you a clear figure before you commit.

Charter capital & formation

Minimum charter capital of 100 times the monthly calculation index (around KZT 432,500 for 2026) for medium and larger businesses, with no minimum required for small and micro businesses. State registration itself is free for small and medium-sized businesses; budget separately for notary and translation costs where required.

Corporate tax

Standard rate of 20% under the 2026 Tax Code, rising to 25% for banks and gambling businesses, with reduced rates for agriculture (3%) and social-sector organisations (5% in 2026, 10% from 2027).

VAT

Standard rate of 16% from 1 January 2026, up from 12% under the previous code, with reduced 5% and 10% rates for medicines and periodicals respectively. The mandatory registration threshold was lowered to 10,000 times the monthly calculation index (around KZT 43 million a year), so more companies now have to register than before.

Ongoing obligations

Accounting, monthly payroll (income tax, mandatory pension, the employer pension top-up, and social health insurance), corporate tax and VAT filings, and annual financial statements, all of which we can manage for you.

The pension rate nobody re-checks

A growing business registers its LLP, budgets its employer costs once, and moves on. It sounds responsible. It usually is not, yet, because one of those costs is designed to keep moving. Here is what people expect against what happens in practice.

Employment & payroll obligations

Expectation: the employer pension top-up (OPVR) is a fixed line you cost once and forget. Reality: it started at 1.5% in 2024, is 3.5% for 2026, and rises most years to reach 5% by 2028, on top of a Tax Code that separately rewrote VAT, income tax, and social tax on 1 January 2026. A cost model built even a year ago is already out of date, discovered only when a payroll run comes in higher than budgeted.

Tax, filing & reporting obligations

Expectation: registration is the hard part, so once the BIN is issued you are done. Reality: the obligations do not stop there: monthly payroll filings across three separate bodies, annual financial statements, corporate tax and VAT returns under the new code, and, for larger LLPs, a statutory external audit. None of this is a reason not to incorporate. It is a reason to do it at the right time, with the right partners already in place.

Your questions answered

Straight answers on incorporating and running a company in Kazakhstan.

As little as a working day online for a single-founder LLP, once the charter, capital, and registered address are in place. You still cannot legally run payroll until State Revenue Committee registration and BIN issuance complete, which is why many companies bridge with an EOR first.
100 times the monthly calculation index (around KZT 432,500 for 2026) for medium and larger businesses; small and micro businesses can register with no minimum contribution. The real cost is the ongoing accounting and compliance, which we can run for you.
Yes. There is no residency or citizenship requirement for founders or directors of an LLP; a non-resident individual or company can be sole founder. You will need a registered Kazakhstani office and, for entities with foreign participants, the standard registration timeline is one working day.
Incorporate when you have permanent, proven headcount and want full control, and the per-head savings justify the ongoing costs. Use EOR while you are still validating the market or need people working quickly. Most companies start with EOR and incorporate later. We advise on the crossover.
Accounting, monthly payroll (income tax, mandatory pension, the employer pension top-up, and social health insurance), corporate tax and VAT filings under the new 2026 Tax Code, and annual financial statements, plus a statutory external audit for larger LLPs. We can run all of it so the entity stays compliant without you building a local finance function.
Yes, and it is how most companies use us. Beyond incorporation we provide ongoing accounting, payroll, and compliance, so your Kazakhstani company operates smoothly from day one without hiring locally for back office.
