What incorporating in Israel means

A Ltd. (private company limited by shares, חברה בערבון מוגבל) is the standard vehicle for a permanent business presence, formed by registering with the Registrar of Companies (Rasham HaChavarot) under the Companies Law 5759-1999. There is no minimum share capital requirement: a nominal amount is legally sufficient. When you form one, you become the legal employer and operator in Israel, with full control and no per-employee EOR fees, in exchange for the setup time and the ongoing obligations.

01

Your own company

Your own Ltd makes you the legal employer and operator in Israel, with full control of employment terms and a local brand presence.

02

Lower cost at scale

No per-employee EOR fees. For permanent, proven headcount, owning the entity is more cost-effective than ongoing EOR arrangements.

03

Setup takes time

Company registration itself is typically fast, but you cannot legally employ anyone until the company is also registered separately with the Israel Tax Authority and the National Insurance Institute, and opening a corporate bank account for a foreign-owned company can take considerably longer than the registration. Timing the move matters, which is why many companies bridge with an EOR first.

How incorporating in Israel works, step by step

From structuring the company to operating it compliantly.

01 – Structure & prepare

We confirm incorporation is right for you, then prepare the constitutional documents, run the company-name availability check, and arrange your registered Israeli office address.

02 – Documents & filing

The application is filed with the Registrar of Companies online, with the constitutional documents, shareholder and director details. Minimum share capital is nominal, so there is little to deposit before you can incorporate.

03 – Register the company

The company is entered on the Registrar of Companies’ register, then registered separately for corporate tax and VAT with the Israel Tax Authority and for employer purposes with the National Insurance Institute, so you can operate and employ compliantly.

04 – Operate & stay compliant

Business bank account, then ongoing accounting, payroll, filings, and annual reporting, all of which we can run for you.

What incorporating in Israel costs

Two kinds of cost: the one-off formation, and the ongoing operating obligations. Israel’s formation cost is low; the real commitment is the ongoing compliance. We give you a clear figure before you commit.

Share capital & formation

No minimum share capital for a Ltd, so there is little to deposit before you incorporate. The Registrar of Companies filing fee is commonly cited at around NIS 2,611 for 2026, plus any legal or corporate-service fees for preparing the filing.

Corporate tax

23% standard rate, unchanged from 2025. A separate minimum top-up-tax regime applies only to large multinational groups under the 2026 Pillar Two rules, and does not affect a standard standalone Israeli Ltd.

VAT

Standard VAT is 18%, confirmed unchanged for 2026 in the approved state budget (a further increase was proposed and not enacted). Registration with the Israel Tax Authority is mandatory for a company from the outset, unlike the turnover-based exemption available to some self-employed individuals.

Ongoing obligations

Accounting, monthly payroll (income tax, Bituach Leumi, and the mandatory pension and severance fund), VAT and corporate tax filings, and annual financial statements filed with the Registrar of Companies, all of which we can manage for you.

The incorporation trap nobody flags

A growing business hits a good quarter and someone says, let us just set up a proper Israeli company. It sounds responsible. It usually is not, yet. Here is what people expect against what happens in practice.

Employment & payroll obligations

Expectation: register the company and start hiring. Reality: registering with the Registrar of Companies is only the first of three separate registrations; you also need the Israel Tax Authority (for corporate tax and, if applicable, VAT) and the National Insurance Institute (for Bituach Leumi as an employer) live before you can legally run payroll, and foreign-owned companies commonly find opening a corporate bank account the slowest step of all, well past the company registration itself.

Tax, filing & reporting obligations

Expectation: we can always reverse it. Reality: dissolving a company needs a shareholder resolution and a formal liquidation process. And once it exists, the obligations do not stop: annual financial statements, monthly payroll filings, corporate tax and VAT returns, and (for larger entities) a statutory audit. None of this is a reason not to incorporate. It is a reason to do it at the right time, with the right partners already in place.

What we handle for your company

Beyond incorporation, we can run the full back office for your company.

Compliance & support

Ongoing HR compliance and a single point of contact, for the life of the engagement.

Your questions answered

Straight answers on incorporating and running a company in Israel.

Registration with the Registrar of Companies itself is often completed within days once the application is filed correctly, extending to a few weeks if it is flagged for examiner review. The slower step for most foreign companies is the follow-on registrations with the Israel Tax Authority and the National Insurance Institute, and opening a corporate bank account. You cannot legally employ anyone until all three registrations are complete, which is why timing matters and why many companies bridge with an EOR first.
No minimum. A nominal amount is legally sufficient to incorporate. The Registrar of Companies filing fee is commonly cited at around NIS 2,611 for 2026. The real cost is the ongoing accounting and compliance, which we can run for you.
Yes. There is no residency or citizenship requirement for shareholders or ordinary directors of a private company; a non-resident individual can be sole shareholder and sole director, managing remotely. You will need a registered Israeli office, which we arrange.
Incorporate when you have permanent, proven headcount and want full control, and the per-head savings justify the ongoing costs. Use EOR while you are still validating the market or need people working quickly. Most companies start with EOR and incorporate later. We advise on the crossover.
Accounting, monthly payroll (income tax, Bituach Leumi, and the mandatory pension and severance fund), corporate tax and VAT filings, and annual financial statements filed with the Registrar of Companies (plus a statutory audit for larger entities). We can run all of it so the entity stays compliant without you building a local finance function.
Yes, and it is how most companies use us. Beyond incorporation we provide ongoing accounting, payroll, and compliance, so your Israeli company operates smoothly from day one without hiring locally for back office.
