What incorporating in Croatia means

Croatia runs three company vehicles side by side. The j.d.o.o. (jednostavno drustvo s ogranicenom odgovornoscu, simplified limited liability company) needs just EUR 1 of share capital and suits a single small founder, capped at five members. The standard d.o.o. (drustvo s ogranicenom odgovornoscu) needs EUR 2,500 and is the usual choice for an incoming business. The d.d. (dionicko drustvo, joint-stock company) needs EUR 25,000 and suits larger, capital-raising structures. When you form one, you become the legal employer and operator in Croatia, with full control and no per-employee EOR fees, in exchange for the setup time and the ongoing obligations.

01

Your own company

Your own Croatian d.o.o. (or j.d.o.o. for a smaller start) makes you the legal employer and operator in Croatia, with full control of employment terms and a local brand presence.

02

Lower cost at scale

No per-employee EOR fees, and Croatia’s employer social cost is unusually light, 16.5% health insurance only, since there is no employer pension contribution. For permanent, proven headcount, owning the entity is more cost-effective than ongoing EOR arrangements.

03

Setup takes time

Registration typically takes from a few days up to several weeks depending on the vehicle and your nationality, and you cannot employ anyone until Commercial Court register entry completes. Timing the move matters, which is why many companies bridge with an EOR first.

How incorporating in Croatia works, step by step

From choosing the right vehicle to operating it compliantly.

01 — Structure & prepare

We confirm incorporation is right for you, help choose between j.d.o.o., d.o.o., and d.d., run the company-name availability check, and arrange your registered Croatian office address.

02 — Capital & signing

The founding act is signed; non-EU/EEA founders sign before a Croatian notary, while EU/EEA founders can complete the process electronically through the e-Osnivanje system without an in-person notary step. Minimum share capital ranges from EUR 1 (j.d.o.o.) to EUR 2,500 (d.o.o.) to EUR 25,000 (d.d.).

03 — Register the company

The company is entered in the Commercial Court register (Sudski registar), then registered for corporate tax and VAT if required, so you can operate and employ compliantly.

04 — Operate & stay compliant

Business bank account, then ongoing accounting, payroll, filings, and annual reporting, all of which we can run for you.

What incorporating in Croatia costs

Two kinds of cost: the one-off formation, and the ongoing operating obligations. Croatia’s formation cost is genuinely low at the j.d.o.o. end; the real commitment is the ongoing compliance. We give you a clear figure before you commit.

Share capital & registration

Minimum share capital from EUR 1 (j.d.o.o., capped at 5 members) to EUR 2,500 (standard d.o.o.) to EUR 25,000 (d.d.). The Commercial Court registration fee sits under the Court Fee Tariff (Narodne novine 37/2023): a low double-digit euro fee for a standard d.o.o. entry, a few euros for a simplified j.d.o.o. entry, with electronic e-Tvrtka filing at half the standard rate. Notary fees, where a notary is required, are additional and vary by complexity.

Corporate tax

Two-tier: 10% where annual revenue is under EUR 1,000,000; 18% at or above. Large groups also face the 15% global minimum top-up tax.

VAT

Standard VAT is 25% (reduced rates 13% and 5% for specific categories). Registration is mandatory once turnover passes EUR 60,000 in a calendar year, raised from EUR 40,000 on 1 January 2025.

Ongoing obligations

Accounting, monthly payroll (health insurance, pension, and income tax), VAT and corporate tax filings, and annual financial statements filed with the Commercial Court register, all of which we can manage for you.

The Croatian incorporation trap that isn’t about the fee

A growing business hits a good quarter and someone says, let us just set up a proper Croatian company. It sounds responsible. It usually is not, yet. Here is what people expect against what happens in practice.

Employment & payroll obligations

Expectation: the j.d.o.o.’s EUR 1 share capital means the whole thing is nearly free. Reality: registration itself can be quick, but a registered Croatian office, the founding act, and registration with the tax office, HZMO, and HZZO all apply, and you cannot legally employ anyone until those registrations are live. The cheap vehicle does not mean a cheap process.

Tax, filing & reporting obligations

Expectation: we can always reverse it. Reality: dissolving a company needs a shareholder resolution, creditor notification, and a winding-up period. And once it exists, the obligations do not stop: annual financial statements, monthly payroll filings, corporate tax and VAT returns. None of this is a reason not to incorporate. It is a reason to do it at the right time, with the right partners already in place.

What we handle for your company

Beyond incorporation, we can run the full back office for your company.

Your questions answered

Straight answers on incorporating and running a company in Croatia.

From a few days for a straightforward j.d.o.o. or d.o.o. filed electronically, up to several weeks depending on the vehicle, your nationality, and how quickly documents and the registered address are in place. You cannot legally employ anyone until registration completes, which is why timing matters and why many companies bridge with an EOR first.
EUR 1 for a j.d.o.o. (capped at 5 members), EUR 2,500 for a standard d.o.o., or EUR 25,000 for a d.d. The real cost is the ongoing accounting and compliance, which we can run for you.
Yes. There is no residency or citizenship requirement for shareholders or directors; a non-EU individual can be sole shareholder and sole director. EU/EEA founders can typically register electronically without an in-person notary step; non-EU/EEA founders generally go through the standard notary-witnessed route. You will need a registered Croatian office, which we arrange.
Incorporate when you have permanent, proven headcount and want full control, and the per-head savings justify the ongoing costs. Use EOR while you are still validating the market or need people working quickly. Most companies start with EOR and incorporate later. We advise on the crossover.
Accounting, monthly payroll (health insurance, pension, and income tax), corporate tax and VAT filings, and annual financial statements filed with the Commercial Court register. We can run all of it so the entity stays compliant without you building a local finance function.
Yes, and it is how most companies use us. Beyond incorporation we provide ongoing accounting, payroll, and compliance, so your Croatian company operates smoothly from day one without hiring locally for back office.
