What incorporating in Chile means

An SpA (Sociedad por Acciones) is the vehicle now generally recommended for foreign investors in Chile: a single shareholder, resident or not, can hold it, one administrator runs it without a board, and shares transfer by simple private instrument rather than a notarised transfer document. The older alternative, the Ltda. (Sociedad de Responsabilidad Limitada), needs at least two partners and unanimous consent to transfer any stake, which makes it the less flexible choice for most foreign entrants. When you form your own SpA, you become the legal employer and operator in Chile, with full control and no per-employee EOR fees, in exchange for the setup time and the ongoing obligations.

01

Your own company

Your own SpA makes you the legal employer and operator in Chile, with full control of employment terms and a local brand presence.

02

Lower cost at scale

No per-employee EOR fees. For permanent, proven headcount, owning the entity is more cost-effective than ongoing EOR arrangements.

03

Setup takes time

Incorporation can be same-day if every founder holds a valid Firma Electronica Avanzada (FEA) and you file through the electronic Empresa en un Dia route, or slower via the notarial route if not, and you cannot legally employ anyone until your RUT and registration are through. Timing the move matters, which is why many companies bridge with an EOR first.

How incorporating in Chile works, step by step

From structuring the company to operating it compliantly.

01 — Structure & prepare

We confirm incorporation is right for you, then prepare the constitutive documents, choose between the SpA and the notarial route, and arrange your domicilio tributario, the tax domicile you will declare to the SII.

02 — Sign & constitute

If every founder holds a valid FEA, the constitutive document is signed online through Empresa en un Dia and there is no minimum share capital to deposit; without one, a public deed is signed before a Chilean notary instead.

03 — Register the company

The company is constituted and assigned its RUT, the same day if filed electronically, or shortly after the escritura publica is signed otherwise, then registered for Inicio de Actividades with the SII, so you can operate and employ compliantly.

04 — Operate & stay compliant

Business bank account, then ongoing accounting, payroll, F22 filings, and annual accounts, all of which we can run for you.

What incorporating in Chile costs

Two kinds of cost: the one-off formation, and the ongoing operating obligations. Chile’s formation cost can be close to zero; the real commitment is the ongoing tax and compliance calendar. We give you a clear figure before you commit.

Share capital & formation

An SpA has no fixed minimum share capital, legally as little as CLP $1, though the SII expects the declared figure to be broadly coherent with your actual business activity. The electronic Empresa en un Dia route is free of charge; the notarial route costs roughly 0.1% of declared capital plus fixed charges for certified copies.

Corporate tax

The general IDPC rate is 27%. Qualifying SMEs use the reduced Pro-Pyme General rate of 12.5% for tax years 2025-2027, legislated to rise to 15% in 2028 and revert to the historical 25% Pro-Pyme rate from 2029. Pro-Pyme Transparente is taxed at roughly 0% at company level, with profits passed straight through to the owner’s personal tax instead.

VAT

Standard IVA is 19% under DL 825, unchanged for decades, with no minimum-revenue registration threshold: liability is activity-based, triggered by filing Inicio de Actividades rather than by a turnover figure. Non-resident digital providers register under the simplified IVA Digital regime from 25 October 2025.

Ongoing obligations

Annual tax return (Operacion Renta, Formulario 22/F22) due by 30 April, with the electronic filing window generally opening 1-8 April. A statutory external audit is required only once a company crosses CMF size thresholds, so most small SpAs formed via Empresa en un Dia are not automatically subject to an early audit.

The incorporation trap nobody flags

A growing business closes a good quarter and someone says, let us just set up a proper Chilean company. It sounds straightforward. It usually is not quite that simple. Here is what people expect against what happens in practice.

The legal representative rule

Expectation: 100% foreign ownership means no local person needs to be involved at all. Reality: ownership can be entirely foreign and non-resident, but on the electronic Empresa en un Dia portal specifically, the individual signing as legal representative or administrator must be Chilean, a permanent resident, or hold a temporary visa that permits the activity, a dependent or student visa does not qualify. A wholly foreign-owned SpA can still incorporate; it just needs a qualifying representative for that step, or can use the notarial route with a representative appointed by power of attorney instead.

The virtual-office test

Expectation: a virtual or serviced-office address is accepted automatically as your domicilio tributario. Reality: the SII has applied a substance-over-form test since 2007, checking that the declared activity can genuinely be carried out from the address, with proper lease or consent documentation, before it accepts the registration. None of this should stop you from incorporating. It is a reason to have the representative and the address sorted before you file.

What we handle for your company

Beyond incorporation, we can run the full back office for your company.

Your questions answered

Straight answers on incorporating and running a company in Chile.

Same day if every founder and legal representative holds a valid FEA and you file through the electronic Empresa en un Dia route, though the portal itself quotes 24-48 business hours as the norm. Without a FEA, the notarial route takes longer: a public deed before a Chilean notary, then registration, typically adding days to weeks depending on complexity. You cannot legally employ anyone until your RUT and registration are through, which is why timing matters and why many companies bridge with an EOR first.
There is no fixed minimum. Chilean law would technically let you capitalise an SpA with a single peso, but the SII expects the figure you declare to make sense against the business you say you are running, so we help you land on a number that is cheap to fund and credible to file. The real cost is the ongoing accounting and compliance, which we can run for you.
Yes, entirely. Ownership carries no nationality or residency test, and a single non-resident can hold every share. The nuance sits with the electronic incorporation portal, which insists the person signing as legal representative be Chilean, hold permanent residence, or carry a temporary visa that allows the work in question, student and dependent visas do not clear that bar. It rarely blocks a deal; it just means lining up the right signatory, or filing through the notarial route instead.
Incorporate once you have permanent, proven headcount and the ongoing registrations, filings, and F22 obligations are worth carrying yourself. Use an EOR while you are still validating the market or need people working quickly, with no entity in place yet. Most companies start with EOR and incorporate later. We advise on the crossover.
The big one is the annual tax return, Formulario 22, filed by 30 April each year, with the electronic window usually opening in the first week of April, alongside your regular IVA filings. Audit only becomes mandatory once you cross the CMF’s size thresholds, so most SpAs formed through Empresa en un Dia are not looking at a statutory audit in their early years. We can run all of it so the entity stays compliant without you standing up your own local accounting team.
Yes, and it is how most companies use us. Beyond incorporation we provide ongoing accounting, payroll, and tax compliance, so your Chilean SpA operates smoothly from day one without hiring locally for back office.
