What incorporating in Argentina means

An S.R.L. (Sociedad de Responsabilidad Limitada, limited-liability company) is the standard vehicle for a permanent business presence, formed by a company agreement filed with the IGJ or the relevant provincial registry; it has no fixed statutory minimum capital, only an amount “adecuado al objeto social” (adequate to the business purpose). Larger or investor-facing operations often use an S.A. (Sociedad Anonima, joint-stock company, minimum capital ARS 30,000,000 under Decreto 209/2024). When you form one, you become the legal employer and operator in Argentina, with full control and no per-employee EOR fees, in exchange for the setup time and the ongoing obligations.

01

Your own company

Your own S.R.L. or S.A. makes you the legal employer and operator in Argentina, with full control of employment terms and a local brand presence.

02

Lower cost at scale

No per-employee EOR fees. For permanent, proven headcount, owning the entity is more cost-effective than ongoing EOR arrangements.

03

Setup takes time

Incorporation typically takes several weeks depending on the route and the registry’s backlog, and you cannot employ anyone until registration completes. Timing the move matters, which is why many companies bridge with an EOR first.

How incorporating in Argentina works, step by step

From structuring the company to operating it compliantly.

01 — Structure & prepare

We confirm incorporation is right for you, then prepare the company agreement, run the company-name availability check, and arrange your registered Argentine office address.

02 — Capital & notarisation

For an S.R.L., the company agreement is signed with certified signatures or before a notary (escribano) and there is no fixed statutory minimum capital to deposit. For an S.A., the founding instrument is executed as a public deed before a notary, and 25% of the ARS 30,000,000 minimum capital, ARS 7,500,000, must be paid in cash at subscription, with the balance due within two years.

03 — Register the company

The company is registered with the IGJ (in Buenos Aires city) or the relevant provincial registry, then registered with ARCA for corporate tax and VAT, so you can operate and employ compliantly.

04 — Operate & stay compliant

Business bank account, then ongoing accounting, payroll, filings, and annual reporting, all of which we can run for you.

What incorporating in Argentina costs

Two kinds of cost: the one-off formation, and the ongoing operating obligations. An S.R.L.’s formation cost is low; an S.A.’s minimum capital is a real, fixed commitment; either way the ongoing compliance is the bigger long-run cost. We give you a clear figure before you commit.

Share capital & formation

An S.R.L. has no fixed statutory minimum capital; an S.A. needs ARS 30,000,000 (ARS 7,500,000, 25%, paid in cash at subscription), under Decreto 209/2024, unchanged since March 2024 despite continued inflation. Registration and notary costs vary by jurisdiction and complexity.

Corporate tax

A progressive scale for fiscal years starting in 2026: 25% on the first ARS 133,514,185.74 of net taxable profit, 30% on the next tranche up to ARS 1,335,141,857.38, 35% above that, with the peso thresholds re-indexed annually for inflation.

VAT

Standard IVA is 21%, with an increased 27% rate on gas, electricity, and telecoms, and a reduced 10.5% rate on certain foodstuffs, capital goods, and construction. Registration with ARCA is required from the start of taxable activity; there is no minimum-turnover registration threshold as there is for VAT in some other jurisdictions.

Ongoing obligations

Accounting, monthly payroll (income tax, pension, PAMI, and obra social), VAT and corporate tax filings, and annual financial statements filed with the IGJ or provincial registry, all of which we can manage for you.

The incorporation trap nobody flags

A growing business hits a good quarter and someone says, let us just set up a proper Argentine company. It sounds responsible. It usually is not, yet. Here is what people expect against what happens in practice.

Employment & payroll obligations

Expectation: it takes a few weeks and is just admin. Reality: an S.R.L. company agreement can be drawn up quickly, but a registered Argentine office, IGJ or provincial registration, and registration with ARCA and the relevant obra social all apply, and you cannot legally employ anyone until those registrations are live, and for an S.A. the ARS 30,000,000 minimum capital has to be in place first.

Tax, filing & reporting obligations

Expectation: we can always reverse it. Reality: dissolving a company needs a shareholder resolution, creditor notification, and a winding-up period. And once it exists, the obligations do not stop: annual financial statements, monthly payroll filings, corporate tax and VAT returns to ARCA, and a semi-annual re-indexation of the income-tax figures your payroll runs against. None of this is a reason not to incorporate. It is a reason to do it at the right time, with the right partners already in place.

Your questions answered

Straight answers on incorporating and running a company in Argentina.

Usually several weeks once documents, capital (where required), and the registered address are in place, filed with the IGJ (Buenos Aires) or the relevant provincial registry; an accelerated track exists for some vehicles and can complete in around five business days once filed without objections. You cannot legally employ anyone until registration completes, which is why timing matters and why many companies bridge with an EOR first.
An S.R.L. has no fixed statutory minimum, only an amount adequate to the business purpose; in practice many founders use a nominal figure in the region of the current SMVM. An S.A. needs ARS 30,000,000, 25% paid in cash at subscription, under Decreto 209/2024. The real cost is the ongoing accounting and compliance, which we can run for you.
Yes. There is no residency or citizenship requirement for shareholders; a non-resident individual can be sole shareholder. At least one director (S.A.) or manager (S.R.L.) resident in Argentina is generally required in practice, which we can arrange alongside a registered Argentine office.
Incorporate when you have permanent, proven headcount and want full control, and the per-head savings justify the ongoing costs. Use EOR while you are still validating the market or need people working quickly. Most companies start with EOR and incorporate later. We advise on the crossover.
Accounting, monthly payroll (income tax, pension, PAMI, and obra social), corporate tax and VAT filings with ARCA, and annual financial statements filed with the IGJ or provincial registry. A 2026 addition under Ley 27.802: employers must also fund an individual severance-savings account for each employee (Fondo de Asistencia Laboral) at 1% of payroll, rising to 1.5% by agreement, for larger employers, or 2.5% rising to 3% for smaller ones, which offsets future severance costs without capping the employer’s underlying liability. We can run all of it so the entity stays compliant without you building a local finance function.
Yes, and it is how most companies use us. Beyond incorporation we provide ongoing accounting, payroll, and compliance, so your Argentine company operates smoothly from day one without hiring locally for back office.

Tax, company, and labour data verified 17 July 2026 (ARCA, the Boletin Oficial, the IGJ). Argentina’s minimum-capital and tax figures move fast, and the S.A. minimum capital has already gone unchanged for over two years despite continued inflation, so a further adjustment is plausible at any time; we confirm the current position when we scope your formation.
