Foreign companies intending to operate in Kazakhstan must establish a subsidiary to legally recruit and run payroll for their staff. The typical choice is to establish a limited liability partnership (LLP), which generally protects the parent company, its shareholders and members from liability as it is an independent legal entity. Company registration is through the Public Service Centre and the company operates under the Civil Code, the Private Entrepreneurship Law and the Law on Partnerships with Limited or Additional Liabilities. In some sectors, subsidiaries must be established as joint stock companies.

Regulations applying to employing foreigners are extensive, with the first step being to establish which of four categories of foreign workers applies. Once the company is incorporated, employers must onboard their new staff and be ready to stay in line with every aspect of the Labour Code. In general, procedures include:

  • Obtain or verify the individual’s electronic digital signature (EDS) from the National Certification Authority (NCA)
  • Obtain or verify the employee’s 12-digit Individual Identification Number (IIN)
  • Register employee for taxation with the State Revenue Committee (SRC) of the Ministry of Finance and with the Social Security Administration (SSA)
